Lease Agreement Terms

HEAVY EQUIPMENT PARKING LEASE AGREEMENT I. Leased Space. Lessor leases the Premises to Lessee and Lessee leases the Premises from Lessor. Lessee accepts the Premises in "AS IS-WHERE IS" condition. Lessee agrees to identify all Equipment to be parked at the Premises by year, make, and model as shown above. II. Rent. The first month's Rent shall be due on the Commencement Date, and all other Rents shall be due on the 25th date of each calendar month. If any payment is not received by the 25th of the prior month, a late charge in the amount of $50.00 shall be assessed and shall be due within 30 days or with the next month's Rent, whichever is sooner. III. Term: The Term of this Lease shall be thirty (30) days for each parking space, and shall automatically renew for successive thirty (30) day terms unless terminated by either party upon thirty (30) days prior written notice or unless terminated earlier in accordance with this Lease. IV. Uses. The Premises shall be used only for the Permitted Use and for no other use whatsoever. LESSEE SHALL NOT UTILIZE THE PREMISES FOR HEAVY TRUCK REPAIR THAT WILL CAUSE LIQUID SPILS OR FALLING DEBRIS ON PREMISE. V. Upkeep of Premises. Lessee will keep the Premises in good repair and in a clean and healthful condition, free from litter and debris, and in accordance with all applicable laws, regulations, and ordinances at Lessee's expense. Lessee shall also, at Lessee's sole expense, repair any damage to any of the fences, or other parts of the Property caused by Lessee or its invitees. At the end of the Term, Lessee shall return the Premises to Lessor in the same or better condition as when Lessee first obtained possession of the Premises. VI. No Assignment. Lessee shall not assign, sublease, or otherwise transfer this Lease. VII. Hold Harmless. Except to the extent caused by the gross negligence or willful misconduct of Lessor, Lessee shall indemnify, defend, and hold Lessor, its owners, officers, directors, employees, mortgagees, and agents ("Lessor Related Parties") harmless against and from all liabilities, obligations, damages, penalties, claims, actions, costs, charges and expenses, including reasonable attorneys' fees, which may be imposed upon, incurred by, or asserted against Lessor or any of the Lessor Related Parties arising out of or in connection with (a) any damage or injury occurring in or on the Premises or any acts or omissions of Lessee, its owners, officers, directors, employees, agents, licensees, transferees, or contractors, or (b) any breach by Lessee of the terms set forth herein. VIII. Assumption of Risk; Limitation of Liability. Lessee assumes all risks of loss or damage to personal property, including tractors and trailers, maintained at the Premises. IN NO EVENT SHALL LESSOR HAVE ANY LIABILITY FOR NOR SHALL LESSEE HAVE A CLAIM OR REMEDY AGAINST LESSOR FOR CONSEQUENTIAL, SPECIAL, INCIDENTAL, OR PUNTIVE DAMAGES, OR FOR ANY LOSS OF PROFITS OR SAVINGS, LOSS OF USE OR ANY OTHER COMMERCIAL OR ECONOMIC LOSS. IX. Default and Remedy. In the event Lessee (a) fails to make any payment when due, (b) files for or is petitioned into bankruptcy, (c) abandons to Premises for more than 14 days, or (d) breaches any other term herein ("Default"), Lessor shall have the right without notice or demand to pursue any of its rights and remedies at law or in equity, including, but not limited to, the right to self-help remedies permitted under Arizona law and the right to terminate this Lease, in which case Lessee shall immediately surrender the Premises to Lessor. Upon a default, Lessor may, without prejudice to any other right or remedy, enter upon and take possession of the Premises and expel and remove Lessee, Lessee's Property, and any party occupying all or any part of the Premises. Lessee shall pay Lessor on demand the amount of all past due Rent and other losses and damages which Lessor may suffer as a result of the Default including, without limitation, reasonable attorneys' fees, and costs of restoring the Premises. Each right and remedy shall be cumulative and in addition to any other right and remedy now or subsequently available to Lessor at Law or in equity. If a Default has occurred, Lessor shall be entitled to receive interest on any unpaid item of Rent at a rate equal to 18% per annum or the maximum interest rate allowed by law, whichever is less. Forbearance by Lessor to enforce one or more remedies shall not constitute a waiver of any default. X. Holding Over. If Lessee continues to hold the Premises after the Expiration Date or earlier termination of this Lease, for the whole time such possession is withheld, the sum of Two Hundred Percent (200%) of the current monthly Rent. XI. Subordination. This lease is subordinate to all mortgages, which may now or hereafter affect the Property or Premises. XII. Costs and Attorneys' Fees. Lessee will pay and discharge all reasonable costs, attorney's fees and expenses incurred by Lessor in enforcing the covenants and agreements of this Lease. XIII. Abandoned Vehicles Once the vehicle is left on the property and the parking is unpaid for 14 days, the vehicle will be deemed abandoned and the vehicle will be towed & impounded. XIV. Personal Vehicle Parking All personal vehicle must be parked in your designated area on the property only. Licensee accepts full liability and responsibility for the personal vehicle that is parked on the premises. XV. Additional Terms. A. This Lease and the rights and obligations of the parties shall be interpreted, construed and enforced in accordance with the Laws of the State of Arizona, and Lessor and Lessee agree that all disputes hereunder shall be resolved solely in the State and Federal Courts located in Maricopa County, Arizona. B. If any term or provision of this Lease shall to any extent be invalid or unenforceable, the remainder of this Lease shall not be affected, and each provision of this lease shall be valid and enforced to the fullest extent permitted by law. C. Lessee may not record this Lease or any memorandum of this Lease. D. LESSEE HEREBY WAIVES ANY RIGHT TO TRIAL BY JURY IN ANY PROCEEDING BASED UPON A BREACH OF THIS LEASE OR ANY OTHER DISPUTE BETWEEN LESSOR AND LESSEE. In witness whereof, the undersigned Lessor and Lessee have executed this Lease as of the date set forth below.

Personal Guarantee Terms

PERSONAL GUARANTY Effective as of the date indicated below, the undersigned ("GUARANTOR") hereby absolutely and unconditionally guarantees and promises to pay to LESSOR all obligations of LESSEE to LESSOR and agrees that he/she shall be personally subject to and bound by all terms, conditions, restrictions and prohibitions contained in the PARKING LEASE. Further, GUARANTOR agrees to personally act as surety for the full and faithful performance of all the obligations, commitments and payments required of the LESSEE in the PARKING LEASE or otherwise. GUARANTOR agrees that LESSOR need not first pursue any remedies it may have against the LESSEE as a precondition for recovery under this Guaranty but may, instead, proceed directly and primarily against the GUARANTOR with or without joining the LESSEE. The Guarantor is both primarily liable and jointly and severally liable for such obligations, commitments, and payments required of LESSEE.
